WELLNACE is a brand operated by EMBRACE YOUR BEING LLC, an Alabama limited liability company. In these Terms of Use, “WELLNACE,” “we,” “us,” and “our” refer to EMBRACE YOUR BEING LLC operating under the WELLNACE brand.

These Terms govern your access to and use of wellnace.com, the WELLNACE Portal, and related digital content, forms, and resources. By accessing or using them, you agree to these Terms. If you do not agree, do not use them.

1. Business use and eligibility

WELLNACE provides business strategy, operating advisory, implementation support, leadership support, and learning resources for wellness businesses and professional users. You must be legally able to enter into these Terms and, if you act for an organization, authorized to bind that organization.

2. Website information and service descriptions

Website content is provided for general informational and business education purposes. Descriptions of services, programs, availability, scope, timing, and pricing may change. A website inquiry, intake submission, discovery call, proposal, or portal invitation does not by itself create a client relationship or obligate us to provide services.

3. Separate client agreements

Paid services and formal engagements are governed by a separate written proposal, statement of work, order form, service agreement, or other client agreement. That agreement controls if it conflicts with these Terms. Fees, deposits, payment schedules, cancellations, rescheduling, deliverables, intellectual property rights, confidentiality obligations, and termination rights are determined by the applicable client agreement.

4. No professional advice or guaranteed results

WELLNACE content and services are not medical, legal, tax, accounting, investment, or other regulated professional advice. You are responsible for obtaining advice from qualified professionals when appropriate.

Business outcomes depend on many factors outside our control. We do not guarantee revenue, profit, financing, expansion, customer acquisition, regulatory approval, performance, or any particular result.

5. Your responsibilities

You are responsible for the accuracy, legality, and completeness of information you provide and for decisions made by you or your organization. You remain responsible for compliance with laws, licensing requirements, employment obligations, contracts, health and safety rules, and professional standards applicable to your business.

Do not submit payment card details, government identification numbers, medical records, or other highly sensitive personal information through general website or intake forms unless we specifically request it through an appropriate secure process.

6. Acceptable use

You may not:

• Use the website, portal, or materials for unlawful, fraudulent, abusive, or misleading purposes.
• Attempt to gain unauthorized access to accounts, systems, data, or restricted materials.
• Interfere with security, availability, performance, or normal operation.
• Upload malicious code or use automated methods to scrape, copy, or overload the services.
• Impersonate another person or misrepresent your authority or affiliation.
• Copy, resell, publish, distribute, or create derivative commercial products from WELLNACE materials except as expressly permitted in writing.

7. Accounts and the WELLNACE Portal

You are responsible for safeguarding login credentials and activity under your account. Notify us promptly if you suspect unauthorized access. Portal access is personal to the authorized user or organization and may be suspended or removed to protect security, enforce these Terms, or administer an engagement.

8. Intellectual property

The WELLNACE name, logos, visual identity, website, methods, frameworks, text, graphics, downloads, learning resources, templates, and other materials are owned by or licensed to EMBRACE YOUR BEING LLC and are protected by applicable intellectual property laws. No ownership or license is granted except the limited right to use materials for their intended purpose under these Terms or an applicable client agreement.

You retain ownership of content you submit. You grant us permission to use that content as reasonably necessary to respond to you, evaluate a potential engagement, administer the portal, and provide agreed services. We will not publicly identify a confidential client or publish client materials without appropriate permission.

9. Third-party services and links

The website and portal may link to or integrate with third-party services. We do not control their availability, security, content, or terms. Your use of a third-party service is governed by that provider’s terms and privacy notice.

10. Privacy

Our collection and use of personal information are described in the WELLNACE Privacy Policy.

11. Disclaimers

To the fullest extent permitted by law, the website, portal, and general content are provided “as is” and “as available.” We disclaim warranties not expressly stated in a written client agreement, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, and uninterrupted availability.

12. Limitation of liability

To the fullest extent permitted by law, EMBRACE YOUR BEING LLC and its owners, personnel, contractors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, goodwill, or business opportunities arising from use of the website, portal, or general content.

For claims relating only to free website or portal access and not governed by a separate client agreement, our aggregate liability will not exceed one hundred US dollars. A separate client agreement may establish different limitations for paid services. Some jurisdictions do not allow certain exclusions or limitations, so parts of this section may not apply to you.

13. Indemnification

To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless EMBRACE YOUR BEING LLC and its owners, personnel, and contractors from claims, losses, liabilities, and reasonable costs arising from your unlawful use of the website or portal, your violation of these Terms, or content you submit that infringes another person’s rights.

14. Suspension and termination

We may suspend or terminate access to the website, portal, or restricted resources when reasonably necessary for security, maintenance, legal compliance, nonpayment under a client agreement, or violation of these Terms. Provisions that by their nature should survive termination will remain in effect.

15. Alabama law and dispute forum

These Terms are governed by the laws of the State of Alabama, without regard to conflict-of-laws principles. Unless an applicable client agreement requires a different process or forum, disputes relating to these Terms will be brought in a state or federal court of competent jurisdiction in Alabama. Mandatory rights that cannot lawfully be waived remain unaffected.

16. Changes, severability, and entire agreement

We may update these Terms by posting a revised version and changing the “Last updated” date. Continued use after an update constitutes acceptance of the revised Terms. If any provision is held unenforceable, the remaining provisions remain in effect. These Terms, together with the Privacy Policy and any applicable client agreement, form the agreement concerning the matters they address.
